Unwritten Type: Desktop license

IMPORTANT NOTICE

Please carefully review the terms of this Licensing Agreement prior to installing or using fonts or software from Unwritten Type Foundry. This End User License Agreement (EULA) outlines your rights as a licensee of the fonts and/or software. If you do not agree to the terms outlined in this Agreement, you are advised not to purchase or install this font/software package.

Digital software purchases are final and non-refundable, except in cases of duplicate accidental purchases evaluated at our sole discretion. All distribution rights for the fonts covered under this End User License Agreement (EULA) are reserved by Unwritten Type Foundry.

LICENSING AGREEMENT

This Desktop Font Software End User License Agreement ("License" or "Agreement") is a legal agreement between you or the company, organization, or other legal entity that you represent ("the Licensee") and Unwritten Type Foundry ("the Licensor"). By obtaining, downloading, and/or installing the delivered software, you agree to the terms and conditions set forth in this Agreement. This is the governing agreement for all desktop fonts by Unwritten Type Foundry unless an explicit custom license is provided within the purchased font package.

1. TERMS AND DEFINITIONS

1.1 "Font Software" (hereinafter "Font"): Any digital font file, software, or data provided by the Licensor in any format (e.g., OTF, TTF).

1.2 "Workstation": Any computer, laptop, tablet, or device capable of utilizing or rendering the Font.

1.3 "Basic Desktop Font License": A license that grants the Licensee the set of non-exclusive rights explicitly listed in this Agreement.

1.4 "Additional License": An extension or custom license purchased separately that confers additional rights, including but not limited to font modification, server installations, enterprise usage, app embedding, or webfont dynamic deployment.

1.5 "Licensee": The individual, company, organization, or agency purchasing the license or to whom the license is issued.

1.6 "Licensor": Unwritten Type Foundry.

1.7 "Unwritten Type Foundry": Alfredo Marco Pradil, operating as an autónomo (self-employed professional) under Spanish law with NIE Z3622680R, doing business under the commercial name Unwritten Type Foundry, based in Zaragoza, Spain.

2. GRANT OF LICENSE AND RESTRICTIONS

2.1 Non-Exclusivity: This Basic Desktop Font License grants the Licensee a limited, non-exclusive, non-transferable, and perpetual right to use the Font Software strictly as set forth in this Agreement.

2.2 Permitted Installations: The Licensee is permitted to install and use the Font for one (1) primary individual user across up to two (2) Workstations owned or controlled by the Licensee, provided both Workstations are used exclusively by the same individual user (e.g., a desktop and a laptop). Multi-user access requires an license upgrade.

2.3 Font Usage: The Licensee may use the Font to create static vector or raster images (e.g., PNG, JPG, EPS, SVG as artwork) for commercial and non-commercial purposes across physical and digital mediums, including print, packaging, digital screens, social media images, billboards, and textiles.

Exclusions: This license explicitly excludes:

Dynamic web usage (@font-face CSS rendering) or embedding on websites.
Embedding or bundling within mobile applications, software, games, or operating systems.
Live text reflow, user-editable interface environments, or dynamic digital signage.

2.4 Embedding: The Licensee may embed the Font in a secure, non-extractable format within electronic documents (such as PDF or EPS files) solely for Print and Preview purposes. "Print and Preview" refers to documents that are static and non-editable by the recipient.

Electronic books, digital magazines, or commercial document templates require that the Font be fully flattened or converted to outlines so that raw Font Software cannot be extracted, edited, or rendered dynamically by third parties.

2.5 Backup Copying: The Licensee is permitted to create one (1) backup copy of the Font Software solely for archival and security purposes. This copy must remain under the exclusive control of the Licensee and cannot be shared or distributed.

2.6 Non-Transfer to Third Parties: Except as expressly provided below, the Licensee may not sell, give, rent, lease, sublicense, assign, or make the Font available to third parties.

Service Bureau Exception: The Licensee may temporarily provide a copy of the Font to a commercial printer or service bureau strictly for the purpose of outputting a specific print job on behalf of the Licensee, provided the service bureau agrees to destroy all copies of the Font immediately upon completion of the work.

2.7 Distribution: The Licensee may not distribute, host, or publish the Font Software or any portion thereof in a commercial or non-commercial manner, whether standalone or bundled with other software or hardware. The Licensee must take all reasonable precautions to prevent unauthorized access.

2.8 Modifications: The Licensee may not modify, adapt, alter, rename, translate, reverse engineer, decompile, disassemble, or attempt to discover the source code or raw vector data of the Font Software. Any customized derivative versions created without express written consent remain the exclusive intellectual property of the Licensor.

3. TERMINATION

This Agreement is effective perpetually unless terminated due to a breach. This Agreement will terminate automatically without notice if the Licensee fails to comply with any provision contained herein. Upon termination, the Licensee must immediately cease all use of the Font Software and destroy all original and backup copies in their possession.

4. NO WARRANTY

The Font Software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not warrant that the software will be error-free or operate uninterrupted.

5. INTELLECTUAL PROPERTY

The Licensee acknowledges that Unwritten Type Foundry owns all intellectual property rights, trademarks, copyrights, title, and interest in and to the Font Software. The Font Software is protected under Spanish Intellectual Property Law (Ley de Propiedad Intelectual), European Union directives, and international copyright treaties.

6. LIMITATION OF LIABILITY

THE LICENSOR DISCLAIMS ALL LIABILITY FOR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR COMPUTER MALFUNCTION, ARISING OUT OF THE USE OR INABILITY TO USE THE FONT SOFTWARE. IN NO EVENT SHALL THE LICENSOR'S TOTAL CUMULATIVE LIABILITY EXCEED THE EXACT AMOUNT PAID BY THE LICENSEE TO ACQUIRE THIS LICENSE.

7. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by, construed, and enforced in accordance with the laws of Spain. Any disputes, claims, or legal actions arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Zaragoza, Spain.
