APP FONT SOFTWARE END USER LICENSE AGREEMENT
IMPORTANT NOTICE
Please carefully review the terms of this Licensing Agreement prior to embedding or distributing fonts from Unwritten Type Foundry within a mobile or desktop application. This End User License Agreement (EULA) outlines your rights as a licensee of the fonts and/or software. If you do not agree to the terms outlined in this Agreement, you are advised not to purchase, embed, or distribute this Font Software within an Application.
Digital software purchases are final and non-refundable, except in cases of duplicate accidental purchases evaluated at our sole discretion. All distribution rights for the fonts covered under this End User License Agreement (EULA) are reserved by Unwritten Type Foundry.
LICENSING AGREEMENT
This App Font Software End User License Agreement ("License" or "Agreement") is a legal agreement between you or the company, organization, or other legal entity that you represent ("the Licensee") and Unwritten Type Foundry ("the Licensor"). By obtaining, embedding, and/or distributing the delivered Font Software within an Application, you agree to the terms and conditions set forth in this Agreement. This is the governing agreement for all app font licensing by Unwritten Type Foundry unless an explicit custom license is provided within the purchased font package.
1. TERMS AND DEFINITIONS
1.1 "Font Software" (hereinafter "Font"): Any digital font file, software, or data provided by the Licensor in any format (e.g., OTF, TTF, WOFF, or a compiled subset thereof).
1.2 "Application": A single, distinct software title — mobile, desktop, or cross-platform — into which the Font Software is embedded and distributed to End Users as a compiled, non-editable software package.
1.3 "End User": An individual who installs or accesses the Application on a device they own or control, without independent rights to extract, author with, or redistribute the Font Software.
1.4 "Basic App Font License": A license that grants the Licensee the set of non-exclusive rights explicitly listed in this Agreement, limited to one (1) Application title.
1.5 "Additional License": An extension or custom license purchased separately that confers additional rights, including but not limited to multiple Application titles, font modification, SDK or engine-wide bundling, or enterprise-wide deployment.
1.6 "Licensee": The individual, company, organization, or agency purchasing the license or to whom the license is issued.
1.7 "Licensor": Unwritten Type Foundry.
1.8 "Unwritten Type Foundry": Alfredo Marco Pradil, operating as an autónomo (self-employed professional) under Spanish law with NIE Z3622680R, doing business under the commercial name Unwritten Type Foundry, based in Zaragoza, Spain.
2. GRANT OF LICENSE AND RESTRICTIONS
2.1 Non-Exclusivity: This Basic App Font License grants the Licensee a limited, non-exclusive, non-transferable, and perpetual right to embed and use the Font Software strictly as set forth in this Agreement.
2.2 Permitted Embedding: The Licensee is permitted to embed the Font Software into one (1) Application title, with unlimited installations by End Users, provided the Font Software is embedded in a secure, non-extractable format such that it cannot be fully or partially extracted, copied, or repurposed outside the Application by End Users.
2.3 Authoring Restriction: The Application into which the Font Software is embedded may not expose the Font Software for authoring purposes — including word processing, presentation design, graphic design, or any feature that allows an End User to independently select, install, or export the Font Software for use outside the Application.
2.4 Excluded Uses: This license explicitly excludes:
- Desktop installation or use of the Font Software outside the licensed Application (a separate Desktop License is required).
- Dynamic web usage (@font-face CSS rendering) or embedding on websites (a separate Web License is required).
- Use of the Font Software, or any rendered glyphs, outlines, or kerning data derived from it, in connection with the development, training, or fine-tuning of artificial intelligence (AI) models, including generative AI or machine learning systems.
2.5 Backup Copying: The Licensee is permitted to create one (1) backup copy of the Font Software solely for archival and security purposes. This copy must remain under the exclusive control of the Licensee and cannot be shared or distributed.
2.6 Non-Transfer to Third Parties: Except as expressly provided below, the Licensee may not sell, give, rent, lease, sublicense, or make the Font Software available to third parties independently of the licensed Application.
Transfer Exception: The Licensee may transfer this license to a successor entity in the event of an acquisition or ownership change of the licensed Application, provided the transferee accepts and agrees to be bound by all terms of this Agreement and the Licensee destroys all copies of the Font Software not embedded within the transferred Application.
2.7 Distribution: The Font Software may only be distributed as an integrated, non-extractable component of the licensed Application. Standalone distribution of the Font Software, whether commercial or non-commercial, is prohibited.
2.8 Agencies and Multi-Client Use: A design agency, developer, or other party building an Application on behalf of a client must obtain a separate license, issued directly to the client or end-owner of the Application, for each distinct client project.
2.9 Modifications: The Licensee may not modify, adapt, alter, rename, translate, reverse engineer, decompile, disassemble, or attempt to discover the source code or raw vector data of the Font Software. Any customized derivative versions created without express written consent remain the exclusive intellectual property of the Licensor.
3. TERMINATION
This Agreement is effective perpetually unless terminated due to a breach. This Agreement will terminate automatically without notice if the Licensee fails to comply with any provision contained herein. Upon termination, the Licensee must immediately cease distribution of the Application containing the Font Software and destroy all original and backup copies in their possession.
4. NO WARRANTY
The Font Software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not warrant that the software will be error-free or operate uninterrupted within the Licensee's Application.
5. INTELLECTUAL PROPERTY
The Licensee acknowledges that Unwritten Type Foundry owns all intellectual property rights, trademarks, copyrights, title, and interest in and to the Font Software. The Font Software is protected under Spanish Intellectual Property Law (Ley de Propiedad Intelectual), European Union directives, and international copyright treaties.
6. LIMITATION OF LIABILITY
THE LICENSOR DISCLAIMS ALL LIABILITY FOR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR COMPUTER MALFUNCTION, ARISING OUT OF THE USE OR INABILITY TO USE THE FONT SOFTWARE. IN NO EVENT SHALL THE LICENSOR'S TOTAL CUMULATIVE LIABILITY EXCEED THE EXACT AMOUNT PAID BY THE LICENSEE TO ACQUIRE THIS LICENSE.
7. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by, construed, and enforced in accordance with the laws of Spain. Any disputes, claims, or legal actions arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Zaragoza, Spain.
